You are cordially invited to the 2023 Annual (UCOT) Members Meeting (AMM). This is a very important meeting, as our Church is adjusting to the new Rules and Regulations of ONCA (Ontario Not-for-Profit Charity Act) in order-to-be in compliance with it, by October 19, 2024. Your attendance is needed because we must have a majority of members present, in-order-to conduct the Church business. 

2023 (UCOT) (AMM) AGENDA

• Review of New Compliance Rules and Regulations of ONCA (Ontario Not-for-Profit Charity ACT) Discussion and (UCOT) Housekeeping and ‘Special Business’
• Vote to Approve  (AMM) Minutes
• Vote the Acceptance of (UCOT) Board of Directors (names provided below)
• Board of Directors Letters of Commitment to be signed
• Resolution to confirm and ratify all prior acts of the (UCOT) Board of Directors throughout the years
• Discussion, resolution and ratification of the filing of Articles of Amendment, as proposed by the church corporate lawyer, Mr. Bryan Hackett on behalf of the Board of Directors in order to provide for a Board of Directors of a minimum of four (4) Directors and a maximum of eight (8) Directors, inclusive of the Minister, as determined, from time to time, by an Ordinary Resolution of the Members, as part of the process of complying with ONCA (the Not-for-Profit Corporations Act, 2010 (Ontario));
• Discussion and voting on a Resolution of Members to provide that, following the filing of the above noted Articles of Amendment, the number of Directors, on the Board of Directors, inclusive of the Minister, shall be initially set at five (5) and that thereafter the number of Directors, on the Board of Directors, inclusive of the Minister, shall be determined by the Board of Directors

• Discussion and Ratification of the New (UCOT) By-Laws which were revised by church corporate lawyer, Mr. Bryan Hackett on behalf of the Board of Directors in-order-to comply with ONCA (the Not-for-Profit Corporations Act, 2010 (Ontario))
• Review and Acceptance Vote and Approval of 2023 (UCOT) Financial Statement
• Discussion and Vote regarding (2024) (UCOT) Financial Review as per compliance with ONCA
  •  Members ‘Extraordinary Resolution’ for 2024 Review Engagement instead of Full Financial Audit as per option given by ONCA
• Discussion, Nomination and Vote regarding Chartered Accountant to perform 2024 (UCOT) Financial Review Engagement as in compliance with ONCA 
• President’s Report 

Financial yearly ‘overview statements’ and newly updated revised (UCOT) Bylaws are available upon your request via Canada Post, or, electronically, and will also be available at the meeting. We look forward to seeing you in person on Sunday, June 23, 2024!
